Terms & Conditions

  • Booking & Confirmation policies:

    • All bookings are subject to availability.

    • A booking is considered confirmed only after:

      • written confirmation from AYO PAIXAO, and

      • receipt of the required deposit.

    • We reserve the right to decline any booking at our discretion.

  • Deposits & Payments:

    • A non-refundable deposit of 50% may be required to secure your event date.

    • Full payment must be received no later than 7 days before the event, unless otherwise agreed in writing.

    • Bookings made within 7 days of the event may require full payment upfront.

    • Additional charges incurred during the event must be paid within 48 hours of invoicing.

    • We accept e-transfer payments only.

    • All proposals are valid for 7 days from the date of receipt. To secure pricing and your event date, a deposit must be submitted within this timeframe.

    • Event dates are reserved on a first-come, first-served basis. A requested date shall not be considered confirmed or secured until AYO PAIXAO has received the required deposit and issued a written booking confirmation.

  • Guest Counts & Final Numbers

    • Final guest count must be confirmed no later than 7 days prior to the event date.

    • Billing will be based on the confirmed guest count.

    • Increases in guest count after final confirmation are subject to availability and additional charges.

    • Reductions after confirmation may not reduce the final invoice amount.

    • At the sole discretion of AYO PAIXAO, any leftover, excess, or unclaimed food remaining after service completion including food associated with guest no-shows or reduced attendance may be packaged for the Client, donated, discarded, or otherwise handled in accordance with food safety standards and operational procedures.

    • No refunds, credits, or reductions in pricing shall be issued for unused portions, guest no-shows, or unconsumed food.

  • Dietary Restrictions & Allergies

    • Clients are responsible for informing us of all allergies, dietary restrictions, and special meal requirements prior to the event.

    • While we make reasonable efforts to accommodate dietary needs, we cannot guarantee an allergen-free environment.

    • AYO PAIXAO shall not be liable for allergic reactions or dietary-related issues.

  • Menu Substitutions

    • We reserve the right to substitute menu items due to:

      • seasonal availability,

      • supplier shortages,

      • quality concerns, or

      • unforeseen circumstances.

    • Any substitutions will be of equal or greater value and quality whenever possible.

  • Event Logistics

    • The Client is responsible for providing:

      • accurate venue information,

      • adequate setup space,

      • power access (if required),

      • parking/loading access, and

      • any necessary permits required by the venue.

    • Delays caused by venue restrictions, limited access, or inaccurate information may result in additional fees.

  • Delivery & Service Timing

    • We will make reasonable efforts to deliver and serve food on time. However, we are not responsible for delays caused by:

      • weather,

      • traffic,

      • venue access restrictions,

      • force majeure events,

      • third-party vendors, or

      • circumstances beyond our control.

  • Staffing & Service

    • Where staffing is included:

      • our staff must be treated respectfully at all times,

      • abusive or unsafe behavior may result in immediate suspension of services,

      • staffing hours beyond the agreed timeframe may incur overtime charges.

  • Equipment

    • Any equipment, or serving ware provided by AYO PAIXAO remain our property unless otherwise specified.

    • The Client is responsible for any loss, theft, or damage to the equipment beyond normal wear and tear.

    • Replacement or repair costs may be charged accordingly.

  • Food Safety

    • For health and safety reasons, food left unrefrigerated for extended periods may be discarded.

    • AYO PAIXAO is not responsible for food consumed after service completion.

    • Leftovers if provided, may only be taken at the Client’s own risk and where permitted by local health regulations.

  • Cancellation Policy

    • Client Cancellations

      • Deposits are non-refundable.

      • Cancellations made within 7 days of the event will be charged up to 100% of the total invoice.

    • Company Cancellations

      • If we are unable to fulfill services due to unforeseen circumstances, liability shall be limited to a refund of payments received.

  • Force Majeure

    • We shall not be liable for failure or delays caused by events beyond reasonable control, including but not limited to:

      • natural disasters,

      • severe weather,

      • fire,

      • labor disputes,

      • pandemics,

      • government restrictions,

      • power outages,

      • transportation interruptions.

  • Liability Limitation

    • To the maximum extent permitted by law:

      • Ayo Paixao shall not be liable for indirect, incidental, or consequential damages.

      • Total liability shall not exceed the total amount paid for the services rendered.

  • Photography & Marketing

    • We may photograph food, setups, or event spaces for promotional purposes unless the Client requests otherwise in writing before the event.

    • We will not publicly disclose private personal information without consent.

  • Intellectual Property

    • All branding, menus, website content, logos, and marketing materials belonging to AYO PAIXAO remain the intellectual property of AYO PAIXAO and may not be copied or reproduced without permission.

  • Governing Law

    • This Agreement shall be governed by the laws of the Province of Alberta and the applicable laws of Canada.

  • Amendments

    • We reserve the right to update or modify these Terms and Conditions at any time without prior notice.

    • The latest version will always apply to new bookings and services.
